1. Introduction
Welcome to Paidflo ("we", "us", or "our"). By accessing or using paidflo.com and any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.
If you do not agree to these Terms, do not use the Service.
2. About Paidflo
Paidflo is an invoicing tool that helps freelancers and small businesses create, send, and track professional invoices. Paidflo is not accounting software and does not provide financial, legal, or tax advice.
3. Eligibility
You must be at least 18 years old to use the Service. By using the Service, you confirm that you meet this requirement and that you are using the Service for lawful business purposes.
4. User Accounts
4.1 Account Registration
To access most features, you must create an account. You agree to provide accurate, complete, and up-to-date information during registration and to keep this information current.
4.2 Account Security
You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activity that occurs under your account. Notify us immediately at support@paidflo.com if you suspect any unauthorised access.
4.3 One Account Per User
Each user may maintain only one account. Creating multiple accounts to circumvent plan limits is prohibited and may result in account termination.
5. Plans and Pricing
5.1 Free Plan
The Free plan allows you to create up to 3 invoices per month at no charge. Free plan features are subject to change. We will provide reasonable notice of any changes that materially reduce Free plan functionality.
5.2 Pro Plan
The Pro plan is a paid subscription that provides unlimited invoices and additional features as described on our pricing page at paidflo.com/pricing. Pricing is displayed in US Dollars (USD).
5.3 Payment Processing
All payments for paid plans are processed by Paddle (paddle.com), who acts as the Merchant of Record. Your payment is made to Paddle, not directly to Paidflo. By purchasing a paid plan, you also agree to Paddle's Terms of Service and Privacy Policy. Paddle handles all billing, invoicing, and tax compliance on our behalf.
5.4 Billing
Subscriptions are billed on a monthly or annual basis, depending on the plan you select. Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date.
5.5 Price Changes
We reserve the right to change subscription pricing. We will give at least 30 days' notice of any price increase via email or in-app notification. Continued use of the Service after the effective date of a price change constitutes your acceptance of the new price.
6. Refunds and Cancellation
6.1 Cancellation
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You retain access to Pro features until that date.
6.2 Refunds
We offer a full refund if you request one within 14 days of your initial subscription payment. Refunds after 14 days are issued at our discretion. To request a refund, contact support@paidflo.com.
6.3 Refund Process
All refunds are processed by Paddle and may take 5–10 business days to appear in your account, depending on your payment provider.
7. Acceptable Use
You agree not to use the Service to:
- Create fraudulent, false, or misleading invoices
- Violate any applicable laws or regulations
- Infringe the intellectual property rights of any third party
- Transmit malware, spam, or any harmful code
- Attempt to gain unauthorised access to the Service or its infrastructure
- Resell or sublicense the Service without our written permission
- Use the Service in any way that could damage, disable, or impair the Service
We reserve the right to suspend or terminate any account that violates these restrictions without prior notice.
8. Tax Disclaimer
Tax accuracy is the user's responsibility.
Paidflo provides tools to add tax rates and display tax amounts on invoices. We do not verify, validate, or guarantee the accuracy of any tax rates, VAT numbers, or tax calculations entered by users. The information displayed on invoices generated by Paidflo does not constitute tax advice.
You are solely responsible for ensuring that your invoices comply with applicable tax laws in your jurisdiction and the jurisdictions of your clients. We strongly recommend consulting a qualified accountant or tax advisor.
9. Intellectual Property
9.1 Our Content
The Service, including its design, code, text, graphics, and all other content created by Paidflo, is owned by Paidflo and protected by applicable intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.
9.2 Your Content
You retain ownership of all content you create using the Service, including invoices, client data, and business information ("User Content"). By using the Service, you grant us a limited, non-exclusive licence to store and process your User Content solely to provide the Service to you.
9.3 Feedback
If you submit feedback, suggestions, or ideas about the Service, you grant us the right to use that feedback without restriction or compensation to you.
10. Data and Privacy
Your use of the Service is also governed by our Privacy Policy, available at paidflo.com/privacy, which is incorporated into these Terms by reference.
11. Third-Party Services
The Service integrates with third-party services including but not limited to:
- Supabase — database and authentication infrastructure
- Resend — email delivery
- Paddle — payment processing
- Sentry — error monitoring
Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices of any third-party service providers.
12. Service Availability and Changes
12.1 Availability
We aim to maintain high availability of the Service but do not guarantee uninterrupted access. Scheduled maintenance, technical issues, or events beyond our control may cause temporary interruptions.
12.2 Changes to the Service
We reserve the right to modify, suspend, or discontinue any part of the Service at any time. We will provide reasonable notice of material changes where possible. We are not liable to you or any third party for any modification, suspension, or discontinuation of the Service.
13. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PAIDFLO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE.
IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.
15. Indemnification
You agree to indemnify, defend, and hold harmless Paidflo and its operators, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from your use of the Service, your User Content, or your violation of these Terms.
16. Account Termination
16.1 Termination by You
You may delete your account at any time from your account settings. Deletion is permanent and removes all your data from our systems within 30 days, subject to our data retention obligations.
16.2 Termination by Us
We reserve the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or for any other reason at our sole discretion. We will provide notice where reasonably practicable.
16.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including sections on intellectual property, disclaimer of warranties, limitation of liability, and governing law.
17. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region ("Hong Kong"), without regard to conflict of law principles.
Any disputes arising from or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts of Hong Kong.
18. Changes to These Terms
We may update these Terms from time to time. We will notify you of material changes by email or by posting a prominent notice on the Service at least 14 days before the changes take effect. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
19. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
20. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Paidflo regarding the Service and supersede all prior agreements or understandings.
